Terms of Use

Effective from 21 October 2026 · bugivugi (MB eDelfinas)

This is an English translation. If the versions differ, the Lithuanian version prevails: Naudojimo sąlygos.

1. Definitions

  • Provider – MB eDelfinas, company code 306945862, registered office Taikos pr. 24, 91222 Klaipėda, Lithuania, brand bugivugi.
  • Customer – a legal entity or a sole trader who has signed up and uses the Service for their business.
  • Service – the bugivugi system at bugivugi.com: the AI agent Bugi, management of products, listings, stock, prices and ads, and add-on services.
  • Plan – a monthly subscription (Plans 1–3) or the custom Plan 4 “I have my own system”.
  • Credits – units of AI usage; 1 credit equals 1 AI model token.
  • Sale – every unit sold in the Customer's orders on marketplaces and web stores connected to the Service, including returns and cancellations.
  • Add-on services – AI responder, social media system, email marketing, integration setup, help creating accounts, extra credits.

2. Conclusion of the contract

2.1. The contract is concluded when the Customer signs up and accepts these terms, the Privacy policy and the Data processing agreement.

2.2. The Service is provided to businesses only. By signing up, the Customer confirms acting on behalf of its company or business activity, so consumer protection rules, including the 14-day right of withdrawal, do not apply.

2.3. The Customer provides accurate data and keeps it up to date. The Service is not provided to persons from countries subject to EU sanctions.

2.4. One account is for one person. Login uses a one-time code sent to the account's email, so the Customer keeps access to that email secure and is responsible for actions in its account.

3. The Service

3.1. According to the Customer's settings, Bugi creates and manages products, translates texts, does SEO, sends products to the marketplaces and web store the Customer has connected and syncs stock, and later also manages ads. Prices of imported products are passed on unchanged.

3.2. Listings are created in the Customer's own marketplace accounts through their official APIs and under each platform's rules. If the Customer connects Base.com, listings created through it follow the settings of the Customer's Base.com account.

3.3. Features may be changed and improved. Beta features are marked and provided as is.

3.4. The Customer uses only the ready-made features and may not create or modify the system's automations.

4. Plans and payments

4.1. Plan prices, product limits, free sales and credits are published on bugivugi.com. Prices are in euros without VAT because the Provider is not VAT-registered; if it becomes VAT-registered, VAT will be added as required by law.

4.2. The plan is paid monthly by card via Stripe; there is no trial period. The plan is activated only after Stripe confirms the payment.

4.3. Above the free sales allowance, €0.50 is charged for each unit sold. All Customer sales on marketplaces and web stores connected to the Service count, including returns and cancellations, and the counter restarts at the beginning of each subscription month.

4.4. At the end of the subscription month, a separate invoice for the sales fee is issued and charged automatically to the saved card through Stripe. If the bank asks to confirm the payment, the Customer receives a payment link.

4.5. The price of Plan 4 is agreed individually; the plan and the sales fee are paid by bank transfer against a monthly invoice.

4.6. One-time add-on services are paid upfront at purchase, and handed-over work is done within 1 business day (up to a week at busy times). Monthly add-ons are paid monthly; in Plan 3 the AI responder and the social media system are included.

4.7. If a payment fails, the account is suspended after 24 hours: agents, stock sync and ads stop. During that time the Customer manages stock on its marketplaces and web store itself.

4.8. Price changes are announced 30 days in advance by email, through the Customer's chosen channel and on the website. A Customer who disagrees may cancel the plan; otherwise the change is deemed accepted.

4.9. Discount codes apply under their own terms. A person who refers a Customer receives a one-off 20% of the new Customer's first monthly payment; payouts are made once a month.

5. Credits

5.1. All AI features use the plan's shared credits. The euro cost of photos, video, voice and search requests is converted into credits at the same rate as text.

5.2. Plan credits are valid only for the month they are granted for and do not roll over.

5.3. Extra credits cost the same on all plans; the current price is published on bugivugi.com. Purchased extra credits are valid for 12 months from purchase, and unused ones are not refunded.

5.4. At 90% of credits the Customer receives a warning; at 100% AI features stop, but listings stay live. The Customer can turn on automatic top-up.

5.5. In the credit history the Customer sees every AI action and the credits charged for it.

6. Changing plans

6.1. An upgrade takes effect immediately: the Customer pays the difference for the rest of the month and receives a proportional share of the new plan's credits and the difference in free sales.

6.2. A downgrade takes effect from the next month if the number of products fits the lower limit.

6.3. Above the product limit, new products are not uploaded until the Customer upgrades or reduces the number of products. A Customer exceeding the Plan 3 limit receives a custom offer.

6.4. The number of orders is not limited on any plan. Above the plan's free sales, the sales fee under clause 4.3 applies on all plans.

7. Connected accounts

7.1. The Customer connects its own marketplace and web store accounts: where the platform allows, with an API key the Customer creates; elsewhere by signing in to the platform and approving access (OAuth). The Provider never asks for or stores the Customer's passwords.

7.2. Access keys and tokens are stored encrypted and used only for the Customer's tasks, within the permissions it granted. In the interface the Customer can check the connection, renew access or disconnect an integration at any time, and can also revoke access on the platform itself.

7.3. Marketplace and web store accounts always remain the Customer's. The Customer follows the platforms' terms and pays their fees itself: commissions, subscriptions, ads and its own Base.com plan if it uses one.

7.4. If the Customer has no marketplace account, the Provider can help create one (€10). The account is created in the Customer's name, and identity verification and sign-in are done by the Customer.

8. Customer's obligations

8.1. The Customer sells only lawful goods and follows the rules of marketplaces, Meta and other platforms.

8.2. The Customer warrants that it holds the rights to uploaded photos, texts and other content, and indemnifies the Provider against third-party claims.

8.3. The Customer is responsible for the lawfulness of processing its buyers' data. By uploading a contact list it confirms it has a lawful basis to send marketing emails.

8.4. The Customer provides access keys only for accounts it is entitled to manage and can disconnect them at any time.

8.5. The Customer pays for the Service on time.

8.6. The Customer is responsible for claims in product descriptions, ads and emails, such as environmental claims or discounts, being true and substantiated. Bugi does not create generic environmental claims without evidence and calculates discounts from the lowest price of the previous 30 days.

9. Prohibited use

It is prohibited to:

  • sell prohibited, counterfeit or otherwise infringing goods;
  • use the Service for spam, fraud or misleading advertising;
  • try to bypass limits, credits, payments or security, or access the system other than through the interface;
  • automatically scrape data, copy or reverse-engineer the system's code;
  • transfer or share the account;
  • abuse the AI responder widget with bots or otherwise.

If these rules are breached, the Provider may suspend or close the account immediately; in that case no refund is given.

10. AI agent's actions

10.1. Bugi acts automatically according to the Customer's settings: it lists and updates listings and manages and deletes products, except those marked as internal. Bugi does not change the prices of imported products on its own: a price is changed only on the Customer's instruction or with the Customer's separate permission in the settings. The minimum margin set by the Customer is used only to assess advertising profitability.

10.2. AI output may be inaccurate. The Customer can turn on approval before every price change (where price changes are allowed) and every SEO change, and uncertain products always wait for its decision. The Customer is responsible for the final content of listings.

10.3. A copy of products the Customer deletes is kept for 5 days for recovery.

10.4. If a marketplace suspends the Customer's account or listing, the Provider notifies the Customer and provides an action plan, but the consequences of sanctions are borne by the Customer.

11. AI responder

11.1. The responder automatically answers the Customer's buyers in the web store, on Facebook and Instagram, based only on the files and website link the Customer provides. It always discloses that it is AI.

11.2. The Customer sees the conversations in Telegram and can step in; the AI then stops replying in that conversation.

11.3. Facebook and Instagram replies are sent within 24 hours of the buyer's message, as Meta requires.

11.4. The Provider processes buyers' data on the Customer's behalf under the Data processing agreement. The Customer is responsible for the information in its files.

12. Availability

12.1. The Provider aims for the Service to work continuously but does not guarantee uninterrupted operation. The Customer is informed about longer outages in the interface and through its chosen channel.

12.2. If the Service is unavailable for more than 7 days through the Provider's fault, the Customer receives a proportional part of the fee, preferably as a discount on the next invoice. Outages of marketplaces, web store platforms, Base.com, Meta and other third parties do not count.

13. Liability

13.1. The Provider's liability for any damage is limited to the amount the Customer paid in the 6 months before the damage occurred.

13.2. The Provider is not liable for indirect damage, lost profit, marketplace sanctions, third-party service outages or errors in data provided by the Customer.

13.3. These limitations do not apply to damage caused intentionally or through gross negligence.

14. Intellectual property

14.1. The system, its code and the bugivugi brand belong to the Provider.

14.2. The Customer's content remains the Customer's. The Customer grants the Provider the right to use it only to provide the Service.

14.3. The Customer may use AI-generated texts and images for its business. The Provider does not guarantee that they are protected by copyright.

15. Confidentiality and personal data

15.1. The parties keep each other's confidential information secret and use it only to perform the contract.

15.2. Personal data is processed under the Privacy policy. When the Provider processes the Customer's buyers' data, the Data processing agreement applies and forms part of these terms.

16. Term and termination

16.1. The contract is concluded for an indefinite term, and the plan renews monthly.

16.2. The Customer may cancel the plan at any time: the service works within the plan until the end of the month, then the account is closed.

16.3. The Provider may terminate the contract with 1 day's notice; in that case the amount paid for that month is refunded under the Refund policy. In case of a breach of section 9, the account may be closed immediately.

16.4. The Customer can get its data (products, translations, settings and contact lists) in CSV or JSON format at any time – in the interface or by email request. When switching to another provider, the Provider helps transfer the data within 30 days, and the data remains available for another 30 days. No fee is charged for switching, and the Customer's marketplace accounts remain its own.

17. Suspension, recovery and deletion

17.1. A suspended or closed account can be recovered within 14 days; reminders are sent on days 1, 7 and 13.

17.2. If not recovered, the account and Service data are deleted, while the Customer's marketplace accounts and listings remain the Customer's.

17.3. Until deletion, the Customer can export its data. Invoices are kept as long as the law requires.

18. Changes to these terms

Material changes are announced 30 days in advance. A Customer who disagrees may cancel the plan before the changes take effect; continued use of the Service means acceptance.

19. Disputes and governing law

19.1. In case of a disagreement, the Customer first contacts the Provider at info@edelfinas.lt, and the Provider replies within 5 business days; the parties seek to resolve the dispute by negotiation. This does not limit the Customer's right to go to court or to its bank.

19.2. The contract is governed by the law of the Republic of Lithuania. Unresolved disputes are settled by the courts of Lithuania according to the Provider's registered office.
